Agreement

This User Agreement ("Agreement") governs your use of MYWALLETGURU,LLC services and constitutes a legal contract between you (the "User") and MYWALLETGURU,LLC ("Wallet Guru," "we," "us," or "our"). By creating a Wallet Guru account or using Wallet Guru services (the “Services”), you agree to comply with all the terms of this Agreement, the Privacy Policy, and any other applicable policies. If you do not agree to these terms, you must immediately stop using our services.

1. Eligibility and Account Creation

To use Wallet Guru, you must meet the following conditions:

  • You must be at least 18 years old (or the age of majority in your state of residence) and be capable of forming a legally binding contract.

  • You must reside in the United States or one of its territories.

  • You must provide a valid U.S. bank account or other approved funding source to link to your Wallet Guru account.

Wallet Guru offers two types of accounts:

  • Personal Accounts: For individual users to hold funds, make payments to vendors, and transfer funds to others for personal purposes.

  • Business Accounts: For businesses authorized by Wallet Guru to accept payments for goods or services.

You are responsible for keeping all account information up to date, including your email address, phone number, and bank account details. You may only have one personal account unless explicitly authorized by Wallet Guru.

1.1 Business Accounts

To create a business account, you must meet additional requirements, including:

  • Providing documentation to verify your business’s existence and status.

  • Adhering to all applicable legal and regulatory requirements, including tax laws.

  • Agreeing to additional terms related to business profiles, which are separate from personal accounts.

2. Agreement Updates and Changes

We may update this Agreement from time to time to reflect changes in our services, applicable laws, or regulatory requirements. We will notify you of any material changes at least 21 days before they take effect if the updates reduce your rights or increase your responsibilities. You are responsible for reviewing the updated terms. Continued use of Wallet Guru services after the changes become effective constitutes your acceptance of the revised agreement.

If you disagree with the changes, you may terminate your account at any time by following the account closure procedure outlined in Section 4.

3. Wallet Guru Services

Wallet Guru provides digital wallet services, including the ability to:

  • Store funds in a Wallet Guru account linked to a U.S. bank.

  • Make payments to approved vendors or other Wallet Guru users.

  • Transfer funds between Wallet Guru accounts for personal or business transactions.

3.1. Holding and Managing Funds

Funds held in your Wallet Guru account represent a claim against Wallet Guru and will be placed in one or more custodial accounts at FDIC-insured banks. While funds are eligible for FDIC pass-through insurance, Wallet Guru is not a bank and does not offer direct banking services. Wallet Guru retains the right to hold funds securely on behalf of users for specific purposes, such as managing payments and transfers.

Important:

  • FDIC insurance only applies to cash balances stored in custodial accounts with U.S. banks. cryptocurrencies or other digital assets, if offered in the future, will not be eligible for FDIC insurance.

  • Wallet Guru does not offer interest on funds held in your account.

3.2. Payments and Transfers

You may use Wallet Guru to make payments to vendors, service providers, and other Wallet Guru users. Payments must be properly authorized, and once authorized, they cannot be reversed unless specifically allowed under Wallet Guru’s refund policies.

  • Personal Payments: These transactions are between individual users, such as splitting bills or sending money to friends and family. Personal payments should not be used for business transactions unless explicitly authorized.

  • Payments to Vendors: Wallet Guru supports payments to authorized vendors, such as utility companies. These payments are processed according to vendor agreements and may take time to reflect in the vendor’s account.

  • Transfers to Bank Accounts: You can transfer your Wallet Guru balance to a linked bank account through standard transfers (which are free) or instant transfers (which incur a fee). Transfer times may vary based on banking policies.

4. Closing Your Wallet Guru Account

You may close your Wallet Guru account at any time by contacting customer support. Closing your account does not release you from any obligations related to your account, such as pending transactions, disputes, or owed amounts. Before closing your account, you must:

  • Complete or cancel any pending payments or transfers.

  • Transfer any remaining balance to a linked bank account.

Wallet Guru reserves the right to refuse closure of accounts in certain situations, including:

  • To avoid investigation: If your account is under investigation for fraud or other suspicious activities, Wallet Guru may suspend account closure until the investigation is complete.

  • Pending disputes or claims: If your account is subject to an unresolved claim or dispute, Wallet Guru may delay account closure until the matter is resolved.

  • Owed balances: If you owe funds to Wallet Guru, you must settle the debt before closing the account.

If Wallet Guru closes your account for any reason, including a violation of this agreement, all associated services will be terminated.

5. Managing Payment Methods

You can link and manage payment methods, such as debit or credit cards or U.S. bank accounts, in your Wallet Guru account. By linking a payment method, you authorize Wallet Guru to charge it for payments and applicable fees when you make a transaction.

5.1. Updating Payment Methods

It is your responsibility to keep payment method information up to date. Wallet Guru may automatically update your linked payment information based on data from your bank or card issuer, but you can remove or update payment methods manually through your account settings.

5.2. Revoking Authorization

You can revoke Wallet Guru’s authorization to charge a payment method by unlinking it from your account. However, unlinking a payment method will not affect previously authorized transactions, and Wallet Guru may still charge the payment method for claims or disputes arising from earlier transactions.

6. Ownership, Copyrights, Trademarks, Licenses

Wallet Guru owns and retains all proprietary rights to this website: www.walletguru.com, its trademarks and copyrights. All rights, title, and interest in and to the website content are the sole property of Wallet Guru or its respective licensors. You acknowledge that the website content and platform are protected by applicable copyright, trademark, and other intellectual property laws, both domestically and internationally.

7. Restrictions on Use

Users shall not edit, alter, abridge, or otherwise change in any manner the content of the Website, including, without limitation, all copyright and proprietary rights notices. User may not, and may not permit others to (including any Authorized User):

  • Reverse engineer, decompile, decode, decrypt, disassemble, or in any way derive source code from, the software or Service;

  • Modify, translate, adapt, alter, or create derivative works from the Service;

  • Copy, distribute, publicly display, transmit, sell, rent, lease, or otherwise exploit the Service;

  • Distribute, sublicense, rent, lease, loan [or grant any third-party access to or use of] the Service to any third party;

  • Harvest, collect, gather, or assemble information or data regarding other Users;

  • Transmit through or post on the Service unlawful, immoral, libelous, tortuous, infringing, defamatory, threatening, vulgar, or obscene material or material harmful to minors;

  • Transmit material containing software viruses or other harmful or deleterious computer codes, files, scripts, agents, or programs;

  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein;

  • Attempt to gain unauthorized access to the Service, computer systems, or networks related to the Service; or

  • Harass or interfere with another User or end-user's use and enjoyment of the Service.

8. Dispute Resolution

If a dispute arises between you and Wallet Guru, both parties agree to resolve it through arbitration on an individual basis, as detailed below:

  • Arbitration: Disputes will be settled by arbitration conducted in accordance with the American Arbitration Association’s rules. Arbitration will take place in your state of residence.

  • No Class Actions: You agree that disputes will be resolved on an individual basis, and you waive any right to participate in a class action lawsuit.

  • Arbitration Exceptions: Certain disputes may qualify for resolution in small claims court if applicable law allows.

9. Security and Account Responsibility

You are responsible for keeping your account secure. This includes:

  • Maintaining the confidentiality of your login credentials.

  • Ensuring that your account activity complies with this Agreement.

  • Immediately notifying Wallet Guru if you suspect any unauthorized access or fraudulent activity on your account.

Wallet Guru employs industry-standard security measures to protect your account and data, but you are also responsible for securing your devices and network connections.

10. Fees and Limits

Wallet Guru may charge fees for certain services, such as instant transfers or business transactions. All applicable fees will be disclosed in our Fees and Limits Policy, which will be updated periodically.

Wallet Guru may also impose transaction limits based on your account type, activity, and compliance with identity verification requirements.

11. Identity Verification and Compliance

To use certain features of Wallet Guru, you may be required to provide additional information for identity verification purposes. This may include your name, date of birth, address, social security number, and other identifying details.

11.1 Anti-Money Laundering Compliance

Wallet Guru complies with U.S. anti-money laundering (AML) regulations and other applicable laws. As part of this compliance, Wallet Guru may:

  • Request documentation to verify your identity or the source of funds.

  • Restrict or limit access to your account if we believe it is being used for illegal activities or if required by law enforcement.

12. Refunds and Chargebacks

Wallet Guru allows refunds in certain cases, such as when an authorized transaction is later canceled or disputed. The refund process varies depending on the type of transaction and the parties involved:

  • Vendor Payments: Refunds for payments made to vendors are subject to the vendor’s refund policy. Wallet Guru may facilitate the refund but is not responsible for vendor compliance.

  • Personal Transactions: Payments between Wallet Guru users generally cannot be reversed unless agreed upon by both parties or required under applicable law.

If you believe a transaction was unauthorized, you must notify Wallet Guru immediately. Chargebacks may apply under certain circumstances, such as when fraudulent activity is suspected, but Wallet Guru reserves the right to dispute any chargebacks it deems unjustified.

13. Termination

Wallet Guru reserves the right to terminate your account or access to services at any time if you violate this Agreement, fail to provide accurate information, or engage in fraudulent activity. Wallet Guru will notify you of the termination, and you will remain liable for any outstanding obligations.

14. Limitation of Liability 

You agree that all access and use of our website and mobile application is at your own risk. IN NO EVENT SHALL WALLET GURU OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, CONTENT AND/OR USER INFORMATION, INCLUDING BUT NOT LIMITED TO THE QUALITY, ACCURACY, OR UTILITY OF THE INFORMATION PROVIDED AS PART OF OR THROUGH FINHABITS OR FOR ANY INVESTMENT DECISIONS MADE ON THE BASIS OF SUCH INFORMATION, WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT WALLET GURU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NO ACTION CONSEQUENTIAL OR RELATING TO THESE TERMS OF USE MAY BE BROUGHT MORE THAN ONE YEAR AFTER THE CAUSE OF ACTION HAS HAPPENED. 

15. Additional Terms

15.1. Governing Law

This Agreement is governed by the laws of the state of Florida unless preempted by federal law. Any disputes will be settled in accordance with applicable state and federal laws.

15.2. Entire Agreement

This Agreement, along with the Privacy Policy and other applicable policies, constitutes the entire agreement between you and Wallet Guru regarding your use of the services. Any previous agreements or understandings, whether written or oral, are superseded this Agreement. 

15.3. Waiver

Failure by Wallet Guru to enforce any part of this agreement does not waive our right to enforce the same or other parts in the future.

15.4. Assignment

You may not transfer or assign your rights or obligations under this User Agreement without prior written consent from Wallet Guru. Wallet Guru reserves the right to transfer or assign its rights under this agreement without restriction.

16. Electronic Signature

The execution of this Agreement, including any Appendixes, Schedules, or Annexes herein, by electronic mail or by any other electronic means, whether digital or encrypted, shall be deemed to constitute effective execution of this Agreement as to the parties hereto. Such electronic signatures may be used by the parties in lieu of the original signature page(s) of this Agreement for any and all purposes. Delivery of a copy of this Agreement or any other document contemplated hereby bearing an original or electronic signature, by electronic mail in “portable document format” (“.pdf”) form, or by any other electronic means intended to preserve the original graphic and pictorial appearance of a document, will have the same effect as physical delivery of the paper document bearing an original or electronic signature. User’s name and electronic signature shall be incorporated by reference to fields entered through the sign-up process on the website. Wallet Guru approval shall be incorporated by reference to fields captured by Wallet Guru software systems. This Agreement shall be dated as of the time User enters User’s electronic signature.

Electronic Signature: [ ] By checking this box you consent that this action is equivalent to your written signature, and that, by doing so, you are entering into a legal acknowledgement that you have read and agreed to Wallet Guru Agreement provisions and terms.
